Terms of Service

These Terms govern your use of the Easy Sell Auto service, including the web dashboard, admin app, Chrome extension, and related APIs (collectively, the "Service") provided by [LEGAL ENTITY NAME] ("Easy Sell Auto", "we", "us").

By creating an account, installing the extension, or otherwise using the Service, you agree to these Terms. If you are agreeing on behalf of a dealership or other organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.

Easy Sell Auto pulls vehicle inventory from your dealership's data source, presents listings to your sales reps via a Chrome extension, and prefills Facebook Marketplace listing forms so reps can publish faster. AI-generated listing descriptions are included; an optional voice-agent add-on routes inbound buyer calls back to your sales team.

• You must provide accurate information when creating an account and keep it current.
• You are responsible for all activity under your account and under every rep API key issued from your dealership.
• You must keep credentials secret. If you suspect a key has been compromised, rotate it from the admin dashboard immediately.
• Sales reps using the extension must be at least 18 years old.

You agree not to:

• Post inventory you don't have the legal right to sell.
• Use the Service to violate Facebook's Commerce Policies, Marketplace rules, or any applicable advertising or consumer-protection law.
• Misrepresent vehicle condition, mileage, history, pricing, or ownership.
• Reverse-engineer, scrape, or attempt to bypass rate limits or authentication.
• Resell, sublicense, or white-label the Service without our written consent.
• Use the Service to send spam or harass any individual.

We may suspend or terminate your account if we reasonably believe you are violating these rules.

• The Service is billed monthly via Stripe. The base subscription fee is shown at signup and on your billing page.
• A one-time setup fee may apply when your dealership is onboarded. The setup fee is disclosed before you authorize payment and is non-refundable once the setup work has begun.
• Optional add-ons (such as the voice agent) are billed as additional recurring line items on the same invoice.
• Fees are exclusive of applicable taxes (GST, PST, sales tax), which we add at checkout where required.
• Failure to pay an invoice within 14 days of the due date may result in suspension of the Service until the balance is cleared.

• You can cancel at any time from the billing page. Cancellation takes effect at the end of the current billing period; you retain access through that date.
• Subscription fees already paid are non-refundable except where required by law.
• We may discontinue the Service or any feature with at least 30 days' notice to active subscribers.

You own your dealership's data — inventory, customer communications, listing history. We process it on your behalf to provide the Service, as described in our Privacy Policy. You grant us a limited license to use that data only as necessary to operate, maintain, and improve the Service.

On request, or within 90 days of subscription cancellation, we will export and then delete your data, except records we are legally required to retain (such as billing history).

AI-generated listing descriptions produce machine-generated output. You are responsible for reviewing every AI-generated listing before publishing. AI output may contain errors, omissions, or inaccuracies, and Easy Sell Auto is not liable for listings you publish without review.

The Service interacts with platforms we don't control — Facebook Marketplace, your dealer management system, payment processors. We are not responsible for outages, policy changes, or account actions taken by those third parties. Your use of those platforms is governed by their own terms.

We aim for high availability but do not guarantee uninterrupted access. The Service is provided on an "as is" and "as available" basis. Maintenance windows, third-party outages, and circumstances beyond our reasonable control may cause downtime.

To the maximum extent permitted by law, the Service is provided without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by law, Easy Sell Auto's total aggregate liability arising out of or relating to the Service is limited to the amount you paid us for the Service during the 12 months immediately preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or business interruption.

You agree to indemnify and hold Easy Sell Auto harmless from any claims, losses, or damages (including reasonable legal fees) arising from listings you publish through the Service, from your violation of these Terms, or from your violation of any third-party platform's rules.

We may update these Terms from time to time. Material changes will be announced via email to account owners at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance.

These Terms are governed by the laws of Alberta, Canada, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the courts located in Alberta, Canada, and you consent to personal jurisdiction there.
